look why is my Physical Memory over loaded??? omg my site is idle no script is been used on this moment please help!!!!

The answer to your question is that the SWSoft kernel is a custom compiled kernel and not like the traditional kernel, so the memory allocation and utilization is different.
Having said the above, the memory is allocated to what is known as an "memory pool" that is then shared among the VPS's thats why your seeing that ... all that is showing is that the memory is being moved to the pool.
